HUMM — TERMS AND CONDITIONS OF SERVICE
Effective Upon Acceptance | Subject to Amendment Without Prior Notice

PREAMBLE
WHEREAS, Humm (hereinafter referred to as "the Company," "We," "Us," or "Humm") doth provide a cloud-based voice-to-text processing service known as Humm (hereinafter "the Service"); and
WHEREAS, any natural person, legal entity, or organisation that doth access, register for, join the waitlist of, or otherwise engage with the Service (hereinafter referred to as "the User," "You," or "Subscriber") shall be deemed to have read, comprehended, and irrevocably consented to the entirety of these Terms and Conditions of Service (hereinafter "the Agreement");
NOW, THEREFORE, in consideration of the mutual covenants and obligations set forth herein, and for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties do agree as follows:
ARTICLE I — DEFINITIONS
For the purposes of this Agreement, the following terms shall bear the meanings ascribed to them hereunder:
1.1 "The Service" shall mean all features, functionalities, interfaces, applications, and capabilities offered by Humm, including but not limited to voice transcription, text formatting, tone-preserved translation, multi-language processing, and all ancillary functions, whether presently available or hereafter introduced.
1.2 "The Humm Model" shall mean the proprietary artificial intelligence engine developed and maintained by Humm, responsible for the processing, interpretation, formatting, and transformation of User audio input into textual output. No third-party AI services shall be implied, acknowledged, or attributed herein.
1.3 "Voice Data" shall mean any audio recording, spoken input, verbal instruction, or sonic communication transmitted by the User to the Service for the purposes of processing by the Humm Model.
1.4 "Cloud Processing" shall mean the transmission and computational handling of Voice Data via Humm's remote server infrastructure, which is the sole and exclusive method by which the Service operates.
1.5 "Subscription" shall mean any recurring or one-time payment arrangement entered into by the User in exchange for access to the Service.
1.6 "Waitlist" shall mean any queue, pre-registration programme, or early-access arrangement — including but not limited to the Founding Members Waitlist or any other waitlist programme offered by Humm — for which payment may be required.
1.7 "Beta Features" shall mean any function, capability, or component of the Service that is designated as experimental, in testing, or subject to active development, as identified by Humm at its sole discretion.
ARTICLE II — ACCEPTANCE OF TERMS
2.1 By accessing or using the Service in any manner whatsoever — including, without limitation, the creation of an account, the submission of payment, the joining of any Waitlist, or the mere visitation of any Humm platform or interface — the User doth irrevocably and unconditionally accept and agree to be bound by this Agreement in its entirety.
2.2 Should the User not agree with any provision herein, it is expressly required that the User refrain forthwith from accessing or using the Service in any capacity. Continued use of the Service shall constitute renewed and ongoing acceptance of the Agreement as it may be amended from time to time.
2.3 The User affirms that they are of lawful age and legal capacity to enter into a binding agreement in the jurisdiction in which they reside, and that no legal impediment exists to their acceptance hereof.
ARTICLE III — NATURE OF THE SERVICE
3.1 Cloud-Exclusive Operation. The Service operates exclusively through cloud-based infrastructure. Humm doth not offer, provide, support, or guarantee any offline functionality, local processing, or on-device computation of any kind. The User expressly acknowledges and accepts that use of the Service requires an active internet connection at all times, and that Humm bears no obligation nor responsibility for the consequences of any interruption, degradation, or unavailability of such connection.
3.2 Voice Processing. Upon transmission of Voice Data, the Humm Model doth receive, analyse, and process said data for the sole purpose of producing the User's desired textual output. This processing occurs within Humm's cloud infrastructure and is necessary for the Service to function.
3.3 No Offline Mode. Notwithstanding any representation, implication, or expectation to the contrary, the Service doth not operate in the absence of a live internet connection. No offline mode, cached processing, or local model execution is provided. The User shall bear sole responsibility for maintaining adequate connectivity.
3.4 Service Availability. Humm doth not guarantee uninterrupted, error-free, or continuous availability of the Service. Scheduled or unscheduled maintenance, technical failures, and third-party infrastructure issues may render the Service temporarily inaccessible. Humm shall bear no liability for any loss, inconvenience, or damage arising from such unavailability.
ARTICLE IV — THE HUMM MODEL AND AI PROCESSING
4.1 The Humm Model doth perform all voice recognition, transcription, formatting, language detection, tone analysis, and translation functions within the Service. All AI-driven operations herein described are attributable solely to the Humm Model.
4.2 The User acknowledges that the Humm Model, like all artificial intelligence systems, may produce output that is imperfect, imprecise, incomplete, or otherwise erroneous. Humm expressly disclaims all responsibility and liability for any inaccuracies, misinterpretations, mistranslations, omissions, or formatting errors produced by the Humm Model.
4.3 Tone-Preserved Translation. Where the User employs the tone-preserved translation function, the Humm Model shall endeavour to maintain the User's intended tone, context, and communicative purpose across languages. Notwithstanding this endeavour, perfect preservation of tone, nuance, or intent cannot be guaranteed, and the User shall bear all responsibility for verifying translated output prior to any transmission or use.
4.4 Humm shall bear no liability whatsoever for any consequence, loss, reputational harm, contractual breach, professional error, or interpersonal consequence arising from the User's reliance upon, distribution of, or action taken on the basis of output produced by the Humm Model.
ARTICLE V — PRIVACY AND DATA GOVERNANCE
5.1 Cloud Processing of Voice Data. The User expressly acknowledges that Voice Data is transmitted to and processed within Humm's cloud infrastructure as a necessary function of the Service. This transmission is required for operation and is not optional.
5.2 Optional Voice Storage. Voice Data shall not be retained by Humm by default. Should the User elect to enable the data storage function within the Service settings, Voice Data may be retained on Humm's servers for the duration specified by the User. Such storage is voluntary, at the User's sole election, and may be disabled or reversed at any time.
5.3 Absolute Prohibition on Data Sharing. Humm doth irrevocably covenant that Voice Data — whether stored or processed — shall never be shared with, sold to, licensed to, disclosed to, or made accessible to any third party for any purpose, including but not limited to advertising, model training, analytics, commercial exploitation, or government disclosure, except where compelled by a valid and lawful legal order issued by a court of competent jurisdiction.
5.4 No Data Collection for Commercial Purposes. Humm doth not collect, harvest, monetise, or commercially exploit User Voice Data under any circumstance. Voice Data is processed solely for the purpose of generating the User's requested textual output and for no other end.
5.5 User Control and Data Deletion. The User retains full and sole dominion over their stored Voice Data. The User may, at any time, exercise the following rights:
- Manual Deletion: The User may select the "Delete Data" option within the Service to permanently remove stored Voice Data from Humm's servers.
- Scheduled Auto-Deletion: The User may configure an automatic deletion schedule, including intervals of no less than forty-eight (48) hours or any other period selected within the Service settings. Upon the expiry of the designated period, Voice Data shall be permanently deleted from Humm's cloud servers.
5.6 Device-Retained Data. Humm's deletion functions operate solely upon data held within Humm's cloud infrastructure. Any Voice Data or textual output retained upon the User's personal device shall remain thereon unless the User independently removes it from said device. Humm bears no responsibility for and no authority over data retained on the User's device.
5.7 Security. Humm employs commercially reasonable security measures to protect Voice Data against unauthorised access, breach, or disclosure. Notwithstanding such measures, Humm cannot guarantee absolute security and shall not be liable for any breach attributable to circumstances beyond its reasonable control.
ARTICLE VI — PAYMENT TERMS AND CONDITIONS
6.1 Payment Requirement. Access to the Service, in full or in part, requires the submission of payment as prescribed by Humm's then-current pricing schedule. No User shall be entitled to access the Service — or any meaningful function thereof — without first satisfying the applicable payment obligation.
6.2 Minimum Payment Threshold. All transactions conducted with Humm shall be subject to a minimum payment of five United States Dollars (USD $5.00). The User may elect to pay any amount in excess of such minimum as permitted by Humm's payment interface. Pay-as-you-go pricing structures are not offered. No transaction below the minimum threshold shall be accepted or processed.
6.3 Subscription Pricing. Humm offers Subscription tiers, the pricing and features of which are set by Humm at its sole discretion. All pricing is stated exclusive of any applicable taxes, duties, levies, or governmental charges.
6.4 Taxes. The User shall bear sole responsibility for all applicable taxes, value-added taxes, goods and services taxes, withholding taxes, and any other governmental impositions arising from or in connection with payments made to Humm. All prices displayed by Humm are exclusive of taxes. Tax amounts, where applicable, shall be displayed separately and collected by Humm solely for remittance to the appropriate governmental authority. Humm retains no portion of tax collected.
6.5 Auto-Renewal. Where a Subscription is configured with the auto-renew option enabled, payment shall be automatically charged to the User's nominated payment method upon the commencement of each renewal period, without further notice or confirmation being required. The User bears sole responsibility for managing, cancelling, or modifying their auto-renewal settings prior to the applicable renewal date.
6.6 Price Variation. Humm reserves the absolute and unilateral right to increase, decrease, restructure, or wholly revise the pricing of any Subscription tier, waitlist fee, or other payment obligation at any time and without prior notice. The User acknowledges and accepts that the price applicable to their Subscription or service access may change, and that continued use of the Service following any such change shall constitute acceptance of the revised pricing.
6.7 Pricing Awareness. It is the User's responsibility to remain informed of current pricing as displayed on Humm's official platforms. Humm shall not be obliged to individually notify each User of pricing changes, and ignorance of a price change shall not constitute grounds for refund or dispute.
ARTICLE VII — REFUND POLICY
7.1 Absolute No-Refund Policy. All payments made to Humm — whether for Subscriptions, waitlist participation, feature access, or any other Service-related purpose — are final and non-refundable. Once payment is submitted and processed, no refund shall be issued under any circumstances, including but not limited to:
- Dissatisfaction with the Service or its output;
- Technical errors, bugs, or interruptions;
- Failure of Beta Features to perform as expected or at all;
- User error or unintended purchase;
- Cancellation or discontinuation of the Service;
- Change of mind or discontinuation of use.
7.2 Waitlist Payments — Non-Refundable. Any and all payments made in connection with any Humm Waitlist programme — including, without limitation, the Founding Members Waitlist or any other pre-registration, early-access, or priority queuing programme — are non-refundable. This prohibition on refund applies without exception:
- Whether the User voluntarily withdraws from the Waitlist;
- Whether the User is removed from the Waitlist;
- Whether the Product or feature for which the Waitlist was established is delayed, altered, or not released;
- Whether the User's access is never activated.
Payment to a Waitlist shall be construed solely as the purchase of a position within said Waitlist and the benefits expressly described therefor, and not as a guarantee of product delivery, feature availability, or access within any particular timeframe.
7.3 No Exceptions. Humm shall not be moved by appeals to hardship, technical failure, misunderstanding, or any other circumstance in the administration of this refund policy. The User agrees to make no chargebacks, payment disputes, or claims against Humm arising from any payment made hereunder.
ARTICLE VIII — BETA FEATURES
8.1 Certain functions within the Service are designated as Beta Features. These are experimental capabilities that remain under active development and are subject to incomplete performance, unexpected behaviour, system errors, data anomalies, temporary unavailability, and material changes or removal without notice.
8.2 The User agrees to use Beta Features at their own sole risk. Humm makes no representation, warranty, or guarantee — express or implied — as to the reliability, accuracy, or fitness for purpose of any Beta Feature.
8.3 Humm shall bear no liability for any loss, damage, inconvenience, reputational harm, or any other consequence arising from the malfunction, erroneous output, or removal of any Beta Feature.
8.4 The User agrees to bear any and all consequences arising from their use of Beta Features, including reliance upon output generated thereby.
ARTICLE IX — LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES
9.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HUMM MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
9.2 Humm doth not warrant that the Service will be free from error, interruption, data loss, security breach, or any other defect. The Humm Model processes voice input and produces textual output based on probabilistic computation; it is not infallible, and the User shall bear sole responsibility for reviewing, verifying, and editing all output before use.
9.3 In no event shall Humm, its officers, directors, employees, or agents be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from or connected to the use of, or inability to use, the Service — including but not limited to any loss arising from inaccurate transcription, failed translation, corrupted output, or errors in formatting.
9.4 To the fullest extent permitted by applicable law, Humm's aggregate liability to the User for any and all claims arising hereunder shall not exceed the total amount paid by the User to Humm in the thirty (30) days immediately preceding the claim in question.
ARTICLE X — SUPPORT AND RESOLUTION
10.1 The User may direct enquiries, complaints, or requests for assistance to Humm's designated support channel as published on Humm's official platform from time to time.
10.2 Humm shall endeavour to acknowledge and provide a substantive resolution to all support communications within forty-eight (48) working hours of receipt. "Working hours" shall mean the standard business hours observed by Humm, exclusive of weekends and public holidays as recognised in Humm's jurisdiction of operation.
10.3 Response within forty-eight (48) working hours represents Humm's reasonable commercial commitment and shall not be construed as a guarantee or contractual obligation. Humm shall not be liable for any loss or consequence arising from delays in response beyond said period.
10.4 Support shall be provided for matters relating to the core operation of the Service. Matters relating to output quality, Beta Feature performance, or questions of AI accuracy shall be addressed in accordance with the limitations set forth in Articles IV, VIII, and IX of this Agreement.
ARTICLE XI — MODIFICATION OF TERMS
11.1 Humm reserves the absolute right to amend, revise, supplement, or wholly replace any provision of this Agreement at any time, at its sole discretion, and without prior notice to the User.
11.2 Amendments to this Agreement shall take effect upon publication to Humm's official platform. The User bears sole responsibility for periodically reviewing the Agreement to remain informed of its current terms.
11.3 Continued use of the Service following any amendment shall constitute the User's acceptance of the modified Agreement. Should the User find any amended provision unacceptable, their sole remedy shall be to discontinue use of the Service. No refund shall be available on grounds of disagreement with amended terms.
ARTICLE XII — GENERAL PROVISIONS
12.1 Severability. Should any provision of this Agreement be found invalid, void, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remainder of the Agreement shall continue in full force and effect.
12.2 Entire Agreement. This Agreement constitutes the entire agreement between the User and Humm with respect to the Service and supersedes all prior representations, understandings, negotiations, or agreements, whether oral or written.
12.3 Waiver. Failure by Humm to enforce any provision hereof shall not constitute a waiver of its right to enforce such provision at any future time.
12.4 Governing Law. This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of competent courts as designated by Humm.
12.5 Independent Parties. Nothing in this Agreement shall be construed as creating any partnership, agency, employment, or joint venture relationship between Humm and the User.
ARTICLE XIII — CONTACT
All communications directed to Humm regarding these Terms and Conditions shall be submitted through the official support channels as published on Humm's platform. Humm shall endeavour to respond within the timeframe set forth in Article X.
These Terms and Conditions were last revised and are effective as of the date of their most recent publication on Humm's official platform. The User is advised to retain a copy for their records.
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY.
